Terms of service

Written to be read, not to be survived. If something here is unclear, ask and we will rewrite it.

Version 6.0 · effective 1 November 2026 · supersedes 5.0 (1 April 2026)

1. Who these terms are between

"Meridian", "we", "us" means Meridian Digital Ltd., registered in the Republic of Korea, with its registered office at 8F, 42 Teheran-ro 4-gil, Gangnam-gu, Seoul 06232, Republic of Korea. "Client", "you" means the organisation named on the statement of work or hosting agreement. If you accept on behalf of an organisation you confirm you are authorised to bind it.

2. What the services are

We provide web design, development, managed hosting, maintenance and security services as described in the statement of work or hosting agreement. We are not a network access provider and do not supply VPN, proxy, relay or tunnelling services. Marketing pages are descriptive only and are not a specification.

3. Eligibility

We contract only with legal entities that have completed verification. We may decline or terminate an engagement where the intended use is unclear, unlawful in the relevant jurisdiction, or inconsistent with our acceptable use policy.

4. Projects: scope, changes, acceptance

The statement of work names the deliverables, the number of review rounds and the launch date. Work outside that scope is quoted separately before it starts. You accept a deliverable when it matches the scope, or within five business days of delivery if you do not respond in writing. Two rounds of design revision are included unless the scope says otherwise.

5. Fees and payment

  • Projects: 40% on signature, 40% at staging sign-off, 20% before launch. Fixed price, not hourly.
  • Hosting and security: invoiced monthly in advance, due within 14 days, in US dollars.
  • Prices exclude VAT and local taxes, which are added where required.
  • Late amounts may attract interest at 1.5% per month. We will not suspend a disputed invoice while we are discussing it in good faith.

6. Intellectual property

On final payment, you own the deliverables we created for you — design files, front-end code, content and the configuration of your site. We retain ownership of the internal tooling, libraries and hosting platform we reuse across clients, and grant you a perpetual licence to any part of it embedded in your deliverables. Third-party components remain under their own licences.

7. Your responsibilities

You are responsible for the accuracy of content you supply, for holding the rights to images and copy, for keeping portal credentials confidential, and for complying with the acceptable use policy. You name one content owner who can approve copy and one technical contact.

8. Hosting and availability

Hosting is provided against the availability target and credit schedule in the service level agreement. Hosting may only be used to serve the sites listed in your agreement; additional sites require a written addendum.

9. Security work

Penetration tests and vulnerability assessments are performed only against systems you own or are authorised to test, within a written scope naming the target and the time window. We do not test third-party systems and stop a test if it begins to affect shared infrastructure.

10. Liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited. Subject to that: (a) neither party is liable for indirect or consequential loss, loss of profit, revenue or anticipated savings; (b) our total liability in any 12-month period is limited to the fees paid or payable by you in that period; (c) we are not liable for failures in third-party services outside our control.

11. Suspension and termination

Either party may terminate a retainer with 30 days' written notice. Projects may be terminated for convenience with the work completed to date invoiced. We may suspend hosting immediately where necessary to prevent harm to other clients or third parties, where required by law, or where an AUP breach is ongoing.

12. Confidentiality and data

Each party keeps the other's confidential information confidential and uses it only to perform the agreement. Our handling of personal data, including data of your site's visitors, is described in the privacy notice and in the data processing agreement attached to your hosting contract.

13. Changes to these terms

We may update these terms to reflect changes in law or in the services. Material changes are notified at least 30 days in advance. If you do not accept a material change you may terminate before it takes effect.

14. Governing law

These terms are governed by the laws of the Republic of Korea. The courts of Seoul have exclusive jurisdiction, without prejudice to either party's right to seek urgent relief elsewhere. The UN Convention on Contracts for the International Sale of Goods does not apply.
